Event Summary

BWB and Practical Law present an introduction to the key legal issues for spin out organisations from local authorities, NHS organisations and other public sector bodies. With a chief executive from a recent spin out of adult education services there to set the scene and raise the practical and commercial issues, the speakers will cover governance, legal form, state aid, procurement, pensions/TUPE and other transfer issues.

9.45am Panel discussion on key considerations prior to set up: the business case; commercial issues; key concerns in selecting legal form; factors relevant in choosing a governance structure; procurement and state aid considerations
10.45am Coffee
11.15am Panel discussion on key considerations post establishment: transition planning; due diligence; contract for services/grant agreement and transfer agreement.
