Experience

Tom has worked predominantly with social enterprises and charities and advises them on a wide variety of commercial and charity law matters, including funding, contractual arrangements, collaborative working and (re)structuring, intellectual property and governance and constitutional issues. A key focus of Tom’s current practice is on the engagement between social enterprises and socially focused businesses and the public sector, particularly under the government’s Right to Provide and Mutualisation agendas, and the spinning out of traditionally public services from local authorities and health and social care bodies, such as primary care trusts into social enterprises.

Examples of recent work

  • Acting for the Energy Efficiency Partnership for Buildings and The National Energy Foundation on the spin out of the Energy Efficiency Partnership for Homes initiative from the Energy Saving Trust
  • Advising on a number of spin outs of services from public bodies into social enterprises, including establishing Hounslow Education Business Partnership as a separate enterprise to the London Borough of Hounslow and acting for Realise Futures CIC in relation to Suffolk County Council’s flagship 'divestment' programme
  • Establishing a number of charities and social enterprises, including the David Lynch Foundation UK and several community interest companies
  • Advising 3SC, a key organisation involved in the delivery of the government’s flagship Work Programme, on structural and sub-contracting arrangements
