Transaction: BWB advised the sellers of a South-East based independent child fostering agency on its pre-sale group restructuring and subsequent multi-million pound share sale to a private equity backed company. Key management re-invested part of their proceeds of sale by taking a stake in the acquiring company. The pre-sale restructuring involved the gift of certain freehold properties to a newly created charity and a corresponding lease back of the properties to the target.
Lawyers: David Davies (Partner) led the team, assisted by Natalie Knight-Wickens (Associate) and Simran Sandhu (Solicitor) on the corporate aspects, supported by Martin Gunson (Partner) on the property aspects. Philip Kirkpatrick (Partner) advised on the charity law aspects.
Observations: This transaction is part of a growing trend that BWB is seeing of investment by private equity companies into the UK’s health and social care sector. Our unique credentials in the charity and social care sector, alongside our growing reputation for high quality corporate transactional work, enabled us to win the mandate to act on this deal.
