Transaction: The reverse takeover of Northcote Energy by Everest Energy Limited for $10m. On completion Everest Energy Limited (renamed Northcote Energy Limited) was admitted to AIM and completed a Placing to raise £1m. Northcote is a US-focused on-shore oil exploration and production company.

BWB acted for Beaumont Cornish in its capacity as Nominated Adviser and Joint Broker and for Shore Capital in its capacity as Joint Broker.

Clients: Beaumont Cornish Limited is an independent corporate finance adviser, which advises domestic and international companies principally listed on AIM and the Main Market of the London Stock Exchange.

Shore Capital Stockbrokers Limited is both an approved Sponsor for the Official List and an AIM Nominated Advisor and has extensive experience of taking companies public, deal structuring and organising access to capital especially for smaller and medium sized companies.

Observation: This is the second AIM transaction concluded in quick succession by BWB. This was a complicated transaction involving four jurisdictions that was carried out over a very tight timetable leading up to Christmas. It was BWB’s first transaction for Shore Capital.
