Transaction: BWB has advised the Council for Awards in Care, Health and Education (“Cache”) on the sale of its business to the vocational awarding body, NCFE.
Client: Cache is a long-standing client of BWB and has, for many years, been the leading provider of high quality vocational qualifications for the Care and Education sector. Following a strategic review, the Trustees decided to sell the awarding organisation to allow both for its continuation and development and the reorientation of the charity’s pursuit of its charitable objects, under the proposed new name, the “Foundation for Training and Education in Care”.
Lawyers: David Davies (Corporate) led the team assisted by Natalie Knight-Wickens and Sian Rowlands (Corporate), Julian Blake (Charity), Selman Ansari and Matthew Orme (Public & Regulatory), Karli Hiscock (Real Estate) and Lucy McLynn and Louise Rea (Employment).
Observations: This deal demonstrated the strength of a cross-departmental team at BWB who were able to meet the client’s objectives of speed and certainty to ensure the longevity of the Cache brand and a new future of the charity in the context of a complex transaction structure and the regulated education sector.
