We are appointed as panel lawyers for several of the UK's leading lending institutions, and act for Charity Bank, Triodos Bank, Handelsbanken, Unity Trust Bank plc, The Cooperative Bank plc, Lloyds Banking Group (charities lending), Metro Bank and Santander plc.
General Corporate Banking
Based in the City of London, our Banking and Finance team provides advice to UK and international banks, building societies and corporate clients.
In addition to our specialist transactional expertise, we regularly assist legal teams, lending managers and securities centres of our clients with general banking advice and support, including seminars, formulating or reviewing lending procedures and policies, providing secondees and outsourcing arrangements, establishing effective precedents and standard form documents.
Financing a business acquisition requires a detailed understanding of the legal issues of corporate finance and banking, as well as an ability to understand and advise on the management of risk. We are able to bring extensive experience and a commercial edge to our legal advice. We also recognise the need to complete the transaction within agreed time scales. We find solutions, not problems.
Invoice Finance, Factoring and Asset Based Lending
Our Banking and Finance Team has significant experience in advising both borrowers and lenders in relation to the full spectrum of asset based lending transactions, ranging from syndicated agreements, domestic bilateral agreements, invoice discounting arrangements through to complex crossborder structures. As well as advising on a range of transactions across a range of business sectors, our team advises on issues such as drafting precedent documentation suites for lenders, portfolio acquisition and management, crossborder transactions through to developing regulatory driven sector specific financing solutions.
We act for banks, mezzanine funders, private equity investors and management teams in arranging funding for acquisitions.
BWB has significant experience across a range of transactions, from very large deals, through the mid-market to sub-£5 million deals. Transactions in which we are involved frequently have crossborder elements, requiring us to work closely with our 'best friend' firms in other jurisdictions.
Real Estate Finance
We act for leading banks and other financial institutions in the real estate finance market. The team have been involved in the financing (on a development, acquisition or refinancing basis) of a wide variety of assets including office buildings, portfolios of industrial and retail properties, development situations, hotels, sports, leisure and other recreational facilities.
The team has experience of all financing structures including acting for agent and arranger banks on syndicated transactions, lenders on bilateral debt, senior, mezzanine and quasiequity, conduit lenders and loans for ultimate securitisation. Loans are to all nature of borrowers, domestic and overseas, including UK and offshore property companies, investment funds, partnerships, joint ventures and unit trusts.
In addition, the team has acted in the acquisition of portfolios of loans secured on commercial properties and is now acting regularly on the financing of properties in mainland Europe in addition to the UK.
As well as secured lending transactions, our team is involved in drafting and negotiating complex syndicated facilities, revolving credit facilities, mortgage book acquisitions, investment finance, and development finance and funding services to not-for-profit sectors such as education, social housing and charitable institutions.
Social Housing Finance

Restructuring and Corporate Recovery
Working with insolvency practitioners, banks, institutional investors, asset-based lenders, LPA receivers, corporates and company directors, the team offers advice on the full range of corporate recovery and insolvency related work and LPA appointment.
We are one of the few firms in the country to have significant expertise in consumer credit work.
The consumer credit sector is currently experiencing significant regulatory change as businesses transition to the Financial Conduct Authority regime. The new regulatory landscape provides major challenges for firms in dealing with a more intrusive regulator and in implementing the myriad of complex rules in the FCA Handbook.
We advise a variety of financial institutions including asset financiers and leasing companies, banks and building societies, providers of mortgages and secured loans, consumer finance providers, including online lenders together with payment services providers.
